SIROKO TV TERMS AND CONDITIONS OF USE

1. Identification of the Provider and Purpose

These Terms and Conditions of Use (hereinafter, the “Terms”) govern access to and use of the audiovisual content platform known as Siroko TV, accessible via the website https://www.siroko.com/tv and the mobile applications for the iOS and Android operating systems (hereinafter, collectively, the “Platform”).

The Platform is owned by SIROKO SOLUTIONS, S.L. (hereinafter, “Siroko”), a commercial company incorporated under Spanish law, with its registered office at Plaza 6 de Agosto nº 6, 2º, 33203 Gijón (Asturias), holding Tax ID No. B33950338, registered in the Commercial Registry of Asturias in Volume 3646, Book 1, Folio 83, Section Eight, Page AS-37176, and whose contact information is: telephone +34 984 49 37 44 and email gdpr@siroko.com.

The Platform allows users to access audiovisual content owned by Siroko, content licensed by third parties, and content generated by the users themselves through the Siroko Creator program, as well as to interact with such content in accordance with the features enabled at any given time.

Use of the Platform, whether as a visiting user or a registered user, implies full and unreserved acceptance of these Terms, as well as the Legal Notice and Privacy Policy published on the Platform. Users who do not accept the Terms must refrain from accessing the Platform and using its features.

2. Acceptance and Capacity

Acceptance of the Terms is demonstrated by performing any of the following actions: (i) accessing the Platform as a visiting user; (ii) creating a user account via the registration form; or (iii) checking the box to accept the Terms provided for that purpose during the sign-up process.

Checking the acceptance box will create an electronic record of the accepted version and the date and time of acceptance, in accordance with Article 23 et seq. of Law 34/2002 of July 11 on Information Society Services and Electronic Commerce (hereinafter, “LSSI-CE”), and Regulation (EU) No. 910/2014 of the European Parliament and of the Council of July 23, 2014, on electronic identification and trust services for electronic transactions in the internal market (“eIDAS Regulation”).

The user declares that they have sufficient legal capacity to enter into contracts and be bound by the Terms. Use of the Platform is restricted to individuals over the age of 18. Individuals under the age of 18 may only access the Platform under the supervision and with the prior consent of their parents or legal guardians. Siroko will not knowingly collect personal data from children under 14 years of age, and if it becomes aware that a registered user is under that age, it will immediately cancel their account, in accordance with Article 8 of Regulation 2016/679 (“GDPR”) and Article 7 of Organic Law 3/2018 of December 5 on the Protection of Personal Data and Guarantee of Digital Rights (“LOPDGDD”).

3. Free Access and Beta Phase of the Service

Access to and use of the Platform is currently free for all users, whether registered or not. Siroko reserves the right to introduce, in the future, premium features or content subject to payment, in which case the user will be notified prior to use and must expressly accept such terms.

The Platform is in the beta phase, which means it is a version under development and testing prior to its final launch. Consequently, the user expressly acknowledges and accepts that: (i) the Platform may contain technical errors, temporary interruptions, or functional limitations; (ii) certain features may not be fully available or may be modified or removed without prior notice; (iii) Siroko may update, modify, suspend, or interrupt the service for maintenance, improvement, or development purposes; and (iv) the Platform is provided “as is,” without Siroko guaranteeing continuity, availability, or freedom from errors, to the extent permitted by law.

The beta phase will have an indefinite duration and will conclude when Siroko expressly announces the transition to the production version of the service. The use of the Platform during the beta phase does not entitle the user to demand specific service levels, technical stability, or the permanence of features.

4. User Registration and Account Security

The user may create an account by providing the information required in the registration form, which must in all cases be truthful, accurate, up-to-date, and belong to the user. Siroko may verify the accuracy of the information provided and, if inaccuracies or impersonation are detected, may suspend or cancel the account.

The user is solely responsible for safeguarding their login credentials and for all activity conducted under their account. The user shall promptly notify Siroko of any unauthorized use of their account or any security incident of which they become aware.

The user may unsubscribe at any time using the feature enabled in their account settings or, failing that, by contacting the email address indicated in clause 1.

5. User-Generated Content and the Siroko Creator Program

The Platform allows certain users, through the Siroko Creator program, to publish their own audiovisual content (hereinafter, “User Content” or “UGC”), as well as to interact with such content through comments, ratings, or other features that may be enabled from time to time.

Zero Tolerance. Siroko maintains a zero-tolerance policy toward objectionable content and toward users who engage in abusive, discriminatory, or unlawful conduct. The publication, dissemination, or attempted publication or dissemination of any content prohibited by these Terms will result in the immediate removal of the content and the expulsion of the offending user, without prejudice to any applicable legal actions.

Content shall be considered objectionable or prohibited, including but not limited to, content that:

  • Constitutes a crime or administrative offense under applicable Spanish or international law, including material depicting child sexual abuse, glorification of terrorism, incitement to hatred, discrimination, or violence, trafficking in drugs or weapons, or any other unlawful conduct.
  • Promotes hatred, discrimination, or violence against individuals or groups on the basis of race, ethnicity, nationality, religion, gender, sexual orientation, gender identity, disability, age, or any other personal or social condition protected by law.
  • Degrades, dehumanizes, sexualizes, or promotes discriminatory or violent attitudes toward women, including content that promotes gender-based violence.
  • Promotes, displays, or incites mistreatment, abuse, exploitation, or cruelty toward animals.
  • Violates the right to honor, personal and family privacy, or the personal image of third parties, or discloses personal data or confidential information without consent.
  • Constitutes fraud, deception, identity theft, phishing, or any unfair commercial practice.
  • Depicts or encourages acts of explicit violence, torture, mutilation, or self-harm.
  • Contains pornographic, sexually exploitative, or sexually explicit material.
  • Contains malware, viruses, spyware, or any code designed to interfere with the operation of computer systems or user security.
  • Constitutes spam, unsolicited bulk mailings, repetitive advertising, or any other abuse of the system.
  • Infringes upon the intellectual property, industrial property, or image rights of third parties, or is disseminated without the legally required authorizations.

This list is supplemented by the regulations applicable at any given time and, in particular, by Regulation (EU) 2022/2065 of the European Parliament and of the Council of October 19, 2022, on a Single Market for Digital Services (hereinafter, the “DSA Regulation”).

6. User License for User Content

The user represents and warrants that they hold full ownership of the rights to the User Content they upload to the Platform, or that they have obtained the necessary authorizations and licenses from the rightful owners for its dissemination through the Platform, including, where applicable, intellectual property rights, image rights, and any other third-party rights that may be affected.

In particular, the user warrants that the User Content: (i) is not managed by any collective rights management entity that limits its availability; (ii) does not infringe the rights of third parties; and (iii) is free of encumbrances or liens.

By publishing the content on the Platform, the user grants Siroko a non-exclusive, royalty-free, transferable, sublicensable, and worldwide license to the intellectual property rights of the content, including the rights of reproduction, distribution, public communication—in any of its forms, including interactive making available—and adaptation, for the sole purpose of hosting, disseminating, promoting, and exploiting the content through the Platform, the mobile app, the Siroko TV linear programming channel, its social media profiles, and Siroko’s other proprietary channels.

The license shall have the maximum duration permitted by applicable law with respect to content that has been subject to public communication during the term of the account, and shall remain in effect as long as the content is published on the Platform or until the user removes it or cancels their account, without prejudice to any backup copies that Siroko may retain for technical or legal reasons.

The user shall retain exclusive ownership of their User Content at all times, and the license granted herein shall not imply a transfer of authorship or a waiver of the inalienable moral rights recognized by Royal Legislative Decree 1/1996 of April 12, which approves the Consolidated Text of the Intellectual Property Law (hereinafter, “LPI”).

When the uploaded content includes the image of natural persons, the user guarantees that they have the express authorization of the persons whose image is reproduced for the purposes set forth in Organic Law 1/1982, of May 5, on the civil protection of the right to honor, personal and family privacy, and one’s own image. In the case of minors, the user guarantees that they have obtained the express consent of those exercising parental authority or guardianship.

7. Content Moderation and Protection Mechanisms

In accordance with the DSA Regulation and applicable sector-specific regulations, Siroko applies a set of content moderation measures on the Platform that include automated mechanisms, human review, and reporting channels available to users and affected third parties.

7.1. Proactive filtering. Siroko applies systems for filtering and detecting prohibited content, which may include automated analysis of metadata, keywords, images, and video, as well as subsequent human review. The implementation of these systems does not exempt the user from liability for the content they upload and does not imply a general obligation of supervision on the part of Siroko within the meaning of Article 8 of the DSA Regulation.

7.2. Notification and Action Mechanism (Flag). Any user or third party may notify Siroko of the existence of allegedly illegal or objectionable content through the following channels: (i) the “Report” button enabled on each piece of content and each comment posted on the Platform; (ii) the email address dmca@siroko.com for notifications regarding intellectual property infringements; and (iii) the email address gdpr@siroko.com or the ethics reporting channel available at https://fdigital.es/siroko-ced/ for all other notifications. The notification must contain, in accordance with Article 16 of the DSA Regulation, a sufficiently substantiated explanation of the reasons why the content is considered unlawful, the location of the content (URL), and the notifier’s contact information, except in the case of notifications regarding crimes against sexual freedom or against minors.

7.3. User Blocking Mechanism. Any registered user may block any other user or creator using the functionality enabled in the profile of the user to be blocked and in each of their posts. The block will take effect immediately and will result in the instant removal of all content from the blocked user from the blocking user’s feed, as well as automatic notification to Siroko for internal review.

7.4. Commitment to act within 24 hours. Siroko will act on notifications received regarding objectionable content within a maximum of twenty-four (24) hours of receipt, proceeding, as appropriate and with justification: (i) to remove the content; (ii) to restrict its visibility; (iii) suspending or canceling the offending user’s account; or (iv) rejecting the notification with justification. This timeframe is without prejudice to any shorter deadlines that may be required in cases of seriously unlawful content, particularly those covered by Article 18 of the DSA Regulation.

7.5. Reasons for Decisions. In accordance with Article 17 of the DSA Regulation, Siroko will provide users affected by a moderation decision with a statement of reasons that includes, at a minimum, the nature and scope of the restriction imposed, the facts and circumstances underlying the decision, a reference to the applicable legal or contractual basis, and information on the available complaint mechanisms.

7.6. Single point of contact. For the purposes of Articles 11 and 12 of the DSA Regulation, Siroko designates the email address gdpr@siroko.com as the single point of contact for both authorities and service recipients. Communications may be sent in Spanish or English.

8. User Obligations and Prohibitions

The user agrees to use the Platform diligently, reasonably, and in accordance with the law and, in particular, undertakes to refrain from:

  • Publishing content that is offensive, defamatory, libelous, racist, discriminatory, violent, or that in any other way may infringe upon the rights of third parties, as set forth in clause 5.
  • Publishing personal data, private images, or any confidential information of third parties without their consent.
  • Creating accounts with fake profiles, impersonating third parties, or using fictitious identities for fraudulent purposes.
  • Using the Platform to send unauthorized commercial communications, collect data from other users, or engage in unauthorized automated scraping activities.
  • Uploading content subject to third-party intellectual or industrial property rights without the legally required authorizations.
  • Circumventing, disabling, or interfering with the technical security, filtering, or moderation measures implemented by Siroko.
  • Using the Platform in a manner that may damage, overload, or impair its operation or compromise its security.

Failure to comply with the obligations set forth in these Terms shall entitle Siroko to take the measures provided for in clause 7.4, without prejudice to the exercise of any applicable legal, civil, or criminal actions.

9. Use of Artificial Intelligence Systems and Content Tagging

In accordance with Regulation (EU) 2024/1689 of the European Parliament and of the Council of June 13, 2024, establishing harmonized rules on artificial intelligence (hereinafter, the “AI Regulation”), and with the European Commission’s guidelines on the labeling of synthetic content, Siroko informs users that certain content on the Platform may have been generated, modified, or manipulated using artificial intelligence systems.

9.1. Labeling. Content generated wholly or partially by artificial intelligence systems, as well as content that has been substantially altered by such systems in a manner that may mislead regarding its authenticity, shall be identified by a visible label stating “Content generated or modified using artificial intelligence (AI).”

9.2. User Obligations. Users who use artificial intelligence tools to generate or modify User Content must: (i) clearly and visibly identify the artificial nature of the content when it may mislead regarding its authenticity; (ii) ensure that such content does not infringe upon the rights of third parties, including image rights, intellectual property rights, or data protection rights; (iii) refrain from generating synthetic or content that simulates the identity of real individuals without their express consent; and (iv) refrain from creating or disseminating manipulated content that may constitute disinformation, fraud, identity theft, or deceptive business practices.

9.3. Automated recommendation systems. When the Platform uses automated systems for the classification, recommendation, or prioritization of content, it shall inform users in an accessible manner about how they work, in accordance with the provisions of Article 27 of the DSA Regulation.

10. Siroko’s Intellectual and Industrial Property

Siroko’s proprietary content, including but not limited to the Platform’s software, graphic design, texts, trademarks, logos, trade names, databases, interfaces, and any other elements eligible for protection under intellectual or industrial property laws, is owned by Siroko or by third parties who have authorized its inclusion on the Platform, and are protected by the Intellectual Property Law (LPI), Law 17/2001 of December 7 on Trademarks, and other applicable regulations.

Any form of reproduction, distribution, public communication, modification, or making available of Siroko’s own content, in whole or in part, as well as any commercial use thereof, is prohibited without the prior, express, and written consent of Siroko.

Likewise, the use of framing, deep linking, automated scraping, or any other techniques that allow for the unauthorized appropriation or exploitation of the Platform’s content is prohibited.

11. Advertising

The user is aware and expressly accepts that the Platform may include, now or in the future, advertising from Siroko or third parties. Advertising will be clearly identified as such and distinguished from the rest of the content, in accordance with the provisions of the LSSI-CE and Law 34/1988 of November 11, the General Advertising Law.

12. Disclaimer and Limitation of Liability

Siroko acts in its capacity as a data hosting service provider within the meaning of Article 3, paragraph g), subparagraph iii), of the DSA Regulation and Article 16 of the LSSI-CE. Consequently, Siroko has no general obligation to monitor the User Content it hosts and shall not be liable for such content when it has no actual knowledge of its unlawfulness or when, upon acquiring such knowledge, it acts with due diligence to remove it or block access to it.

To the extent permitted by law, Siroko shall not be liable for any damages arising from: (i) interruptions, errors, or technical failures of the Platform, particularly during the beta phase; (ii) the temporary unavailability of the service due to technical issues, maintenance, or force majeure; (iii) misuse of the Platform by users; (iv) content published by third parties; and (v) content, services, or information accessible through links external to the Platform.

No provision of these Terms shall exclude or limit Siroko’s liability toward consumer users in cases where such exclusion or limitation is prohibited by mandatory consumer protection regulations and, in particular, by Royal Legislative Decree 1/2007, of November 16, approving the consolidated text of the General Law for the Protection of Consumers and Users (hereinafter, “TRLGDCU”).

13. Protection of Personal Data

The processing of the user’s personal data is governed by Siroko’s Privacy Policy, accessible on the Platform, which forms an integral part of these Terms. The Privacy Policy informs the user, in accordance with Articles 13 and 14 of the GDPR, regarding the identity of the data controller, the purposes, the legal basis, the recipients, the retention periods, the rights of the data subject, and the means to exercise them.

The Data Protection Officer appointed by Siroko is Mr. Martín López Escartiín, a member of the Madrid Bar Association (ICAM) under license number 103516, with the contact address gdpr@siroko.com.

14. Modification of the Terms

Siroko may modify these Terms at any time, whether for technical, operational, legal, or strategic reasons. Modifications will be communicated to registered users via email or through a prominent notice on the Platform, with reasonable notice prior to their entry into force.

Use of the Platform after the modification takes effect shall constitute acceptance of the new version of the Terms. If the user does not accept the modifications, they may proceed to cancel their account in accordance with clause 4.

15. Term and Termination

These Terms shall remain in effect as long as the user maintains an active account or uses the Platform. Siroko may, at any time and without prior notice where there is just cause, suspend, limit, or cancel the user’s account in the event of a breach of the Terms, applicable regulations, or reasonable grounds for fraud or abuse.

The termination of the contractual relationship shall not affect obligations that, by their nature, must survive, including those relating to intellectual property, confidentiality, liability, and dispute resolution.

16. Governing Law and Jurisdiction

These Terms are governed by Spanish law. For any dispute arising from their interpretation or enforcement:

16.1. Users who are consumers. When the user qualifies as a consumer within the meaning of Article 3 of the TRLGDCU, the courts and tribunals of the consumer’s domicile shall have jurisdiction, in accordance with Articles 17 to 19 of Regulation (EU) No. 1215/2012 of the European Parliament and of the Council of December 12, 2012, on jurisdiction, the recognition and enforcement of judgments in civil and commercial matters (“Brussels I bis Regulation”), and Article 90.2 of the TRLGDCU. Consumer users residing in the European Union may also turn to the European Commission’s Online Dispute Resolution Platform, accessible at https://ec.europa.eu/consumers/odr/, established under Regulation (EU) No. 524/2013.

16.2. Other Users. For users who are not consumers, the parties, expressly waiving any other jurisdiction that may apply to them, submit to the exclusive jurisdiction of the Courts and Tribunals of Gijón (Spain).

17. Language

The original and binding version of these Terms is the one written in Spanish. Translations into other languages are provided for informational purposes only, and in the event of any discrepancy between versions, the Spanish text shall prevail.

18. Partial Invalidity

If any provision of these Terms is declared null and void or ineffective, in whole or in part, by a competent judicial or administrative body, such nullity shall not affect the validity and effectiveness of the remaining provisions, which shall remain in force. The invalid clause shall be deemed replaced by another valid clause that most closely approximates the original intent of the parties.

19. Reporting Incidents and Suggestions

During the Platform’s beta phase, the user may report to Siroko any detected errors, technical issues, suggestions for improvement, or comments related to the Platform’s operation through the contact channels provided for this purpose.

Such communications shall be purely informative and voluntary, and their submission shall not create any obligation on Siroko to implement, respond to, or adopt the suggestions received, nor shall it grant the user any rights to the improvements or developments that may result from them. Siroko may freely use the information received for the purposes of analyzing, improving, developing, and evolving the service, without this implying any recognition of intellectual property rights, financial compensation, or attribution of authorship in favor of the user.

SIROKOTV informuje swoich użytkowników, że zgodnie z Rozporządzeniem Parlamentu Europejskiego i Rady (UE) 2024/1689 z dnia 13 czerwca 2024 r. w sprawie ustanowienia zharmonizowanych przepisów dotyczących sztucznej inteligencji oraz zmiany rozporządzeń (WE) nr 300/2008, (UE) nr 167/2013, (UE) nr 168/2013, (UE) 2018/858, (UE) 2018/1139 i (UE) 2019/2144 oraz dyrektyw 2014/90/UE, (UE) 2016/797 i (UE) 2020/1828 (akt w sprawie sztucznej inteligencji), niektóre treści dostępne na platformie mogły zostać wygenerowane, zmodyfikowane lub zmanipulowane przy użyciu systemów sztucznej inteligencji (AI).

Celem niniejszego opracowania regulacyjnego jest promowanie odpowiedzialnego, przejrzystego i bezpiecznego korzystania z systemów sztucznej inteligencji (AI) w cyfrowym środowisku audiowizualnym.

1. Wykrywanie treści stworzonych lub modyfikowanych przez sztuczną inteligencję

SIROKOTV stosuje system oznaczania wizualnego i tekstowego w celu identyfikacji treści, które:

  • Zostały w całości lub częściowo wygenerowane przez systemy AI.
  • Zostały poddane cyfrowej obróbce lub manipulacji w sposób mogący wprowadzać w błąd co do ich autentyczności.

2. Zakres ograniczeń i odpowiedzialności

SIROKOTV nie może zagwarantować autentyczności wszystkich treści przesyłanych przez użytkowników. Pomimo stosowania narzędzi automatycznych i kontroli manualnej, istnieje możliwość występowania materiałów nieoznaczonych, które zawierają elementy wygenerowane lub poddane cyfrowej obróbce przy użyciu sztucznej inteligencji.

W związku z tym zaleca się, aby użytkownicy:

  • Krytycznie analizowali oglądane materiały wideo.
  • Nie zakładali, że obrazy, głosy lub wypowiedzi przedstawiają faktyczne wydarzenia.
  • Zgłaszali treści mogące nosić znamiona manipulacji lub stwarzać ryzyko wprowadzenia w błąd.

3. Zasady jawności oraz śledzenia źródeł

Zgodnie z ustawą o sztucznej inteligencji i wytycznymi Komisji Europejskiej dotyczącymi oznaczania treści generowanych syntetycznie, SIROKOTV zobowiązuje się do:

  • Wykorzystania metadanych i cyfrowych znaków wodnych do identyfikowania treści syntetycznych.
  • Wdrożenia narzędzi automatycznych i kontroli manualnej.
  • Współpracy z właściwymi organami w zakresie wykrywania fałszerstw lub niewłaściwego wykorzystania sztucznej inteligencji.

4. Treści wrażliwe lub wysokiego ryzyka

SIROKOTV wdroży wzmocnione mechanizmy nadzoru i blokady, gdy zostaną wykryte treści generowane przez sztuczną inteligencję, które:

  • Mogą stanowić źródło dezinformacji w obszarach polityki, zdrowia lub bezpieczeństwa publicznego.
  • Naruszają prawa autorskie, prawa do wizerunku i w których istnieje ryzyko podszywania się pod osoby rzeczywiste.

5. Prawa użytkownika

Użytkownicy mają prawo zgłosić weryfikację lub usunięcie treści, jeśli uważają, że nie są zgodne z polityką transparentności przy wykorzystaniu sztucznej inteligencji. Zgłoszenia weryfikacji lub usunięcia treści należy przesyłać przez formularz kontaktowy na platformie lub na wskazany adres e-mail.

Platforma w wersji beta

Platforma SIROKO TV znajduje się obecnie w fazie beta; jest to wersja testowa, której treści i funkcje są modyfikowane oraz dopracowywane przed oficjalną publikacją jej finalnej wersji.

W związku z powyższym Użytkownik oświadcza, że zapoznał się z treścią niniejszych postanowień oraz akceptuje, że:

  1. Korzystanie z Platformy może wiązać się z występowaniem błędów technicznych, okresowych przerw w działaniu, ograniczeń lub zmian funkcjonalności, wprowadzanych bez uprzedniego powiadomienia.
  2. W fazie beta dostępność określonych funkcjonalności, treści lub usług może być ograniczona, a elementy te mogą podlegać modyfikacjom lub zostać usunięte.
  3. SIROKO może aktualizować, modyfikować, zawieszać lub częściowo bądź całkowicie ograniczać dostęp do Platformy w celu przeprowadzania prac konserwacyjnych, ulepszeń, korekt lub usprawnień usług.
  4. Dostęp do Platformy oraz jej użytkowanie w fazie beta odbywają się w aktualnym stanie funkcjonalnym, bez jakichkolwiek gwarancji ze strony SIROKO co do ciągłości, dostępności lub bezbłędności działania, w granicach dopuszczalnych przez prawo.
  5. Korzystanie z Platformy w fazie beta nie stanowi podstawy do dochodzenia jakichkolwiek roszczeń dotyczących określonych poziomów świadczenia usług, stabilności technicznej ani dalszej dostępności funkcji.

Czas trwania fazy beta jest nieokreślony i ulegnie zakończeniu z chwilą wyraźnego poinformowania przez SIROKO o przejściu na wersję finalną usługi.

Zgłaszanie problemów technicznych i sugestii

Podczas trwania fazy beta Platformy, Użytkownik może informować SIROKO o wykrytych błędach, problemach technicznych, propozycjach ulepszeń lub uwagach dotyczących funkcjonowania Platformy, korzystając z kanałów kontaktowych udostępnionych na stronie.

Wszelkie zgłoszenia tego typu są dobrowolne i mają charakter informacyjny. Ich przesłanie nie zobowiązuje SIROKO do udzielenia odpowiedzi, wdrożenia poprawek ani przyjęcia zgłoszonych sugestii, incydentów czy uwag, ani nie nadaje Użytkownikowi żadnych praw w odniesieniu do wynikających z nich usprawnień, rozwoju lub modyfikacji Platformy.
